This organization shall be known as the Duluth-Superior Camera Club.

 ARTICLE II … Purpose

          The purpose of the Duluth-Superior Camera Club shall be to promote the enjoyment, mastery, and furtherance of photography through cooperation, effort and fellowship.

 ARTICLE III … Meetings

         Regular club meetings shall be held on the third Tuesday of September, October, November, January, February, March, April and May.  Regular club meetings may deviate from the third Tuesday if a conflict arises with our meeting location. Banquet events will be held the first Tuesday of December and June.  The June event shall be the club’s annual meeting. Meetings will be suspended for the remainder of the summer.

ARTICLE IV … Membership

         Any person interested in photography may apply for membership and become and remain a member in good standing by keeping annual dues current.

ARTICLE V …. Officers

          The following officers shall be elected by the membership annually in May (1) President, (2) Vice-President, (3) Secretary, (4) Treasurer.

 ARTICLE VI … Committees

         The following standing committees shall be appointed by the President to conduct club activities as provided in Article IV of the By-Laws: (1) Membership, (2) Social, (3) Field Trips, (4) Publicity, (5) Newsletter. Special committees may be appointed by the President as need arises and discharged by the president when they have completed their assignments.

ARTICLE VII … Executive Board

         The management of the club shall be directed by the Executive Board composed of the elected officers (Article V) and three at-large members. The Executive Board shall meet as often as necessary to transact the business of the club.  A simple majority of the members of the Executive Board shall constitute a quorum.  Constitutional amendments may be proposed in writing by any member of the Executive Board and, if approved, may be incorporated into this constitution if approved by a simple majority of the total club membership.

 ARTICLE VIII … Amendments

          Amendments to the by-laws of this constitution may be proposed in writing by any club member to the Executive Board. If approved by the Executive Board, the amendment becomes part of the by-laws if approved by a simple majority of the total club membership. In the event that a member’s proposal is rejected by the Executive Board, the Executive Board shall present the proposal to the membership for final approval/disapproval by a simple majority of the total membership.


ARTICLE I … Finance

          The yearly dues shall be set by the Executive Board.

ARTICLE II … Elections

         Elections of club officers shall be held annually in May.

         The President shall appoint a nominating committee composed of three members, not more than one of whom may be on the Executive Board. The committee shall prepare a single slate of officers and obtain the agreement from the nominees to serve, if elected.

         The President may be nominated for a second term of office. The President shall not be nominated to serve a third consecutive term as President but may be available for nomination for this office the following year.

         The nominating committee shall report their slate to the membership at the May club meeting followed by an election at that same meeting. Additional nominations may be made from the floor. A written ballot shall be taken if necessary.

         Vacancies in club offices shall be filled by the President, subject to the approval of the Executive Board. Vacancy of the President’s office shall be filled by the advancement of the Vice-President.

ARTICLE III … Duties of Officers

         Duties of the President shall be:  To preside at all club meetings and Executive Board meetings, to act as club spokesperson, to supervise and keep in touch with all club activities.

         Duties of the Vice-President shall be:  To assume the duties of the President in his/her absence, to assist the President and to act as program chairperson.

         Duties of the Secretary:  To record minutes of regular meetings, notify membership of upcoming events and act as editor of the club newsletter.

         Duties of the Treasurer shall be:  To maintain records thereof, to prepare monthly reports of club finance.

ARTICLE IV ... Duties of Committee Chairpersons

         The activities of club committees shall be determined by the Executive Board. The activities decided upon shall thereafter be carried out by the committee chairperson and the members appointed by the chairperson of the respective committees.

         Duties of the Membership chair shall be:  To seek out and inform perspective members about activities of the club.

         Duties of the Field Trips chair shall be:  To schedule and guide activities outside of the regular membership meetings.

         Duties of the Publicity chair shall be:  To promote the activities of the club locally, to submit club news to NCCCC and PSA publications.

         Duties of the Social chair shall be:  To promote fellowship and to contact club members or family members as deemed necessary.

         Duties of the PSA contact shall be:  To notify the membership of PSA activities that may be of interest to the club, and to promote club participation in PSA sponsored exhibitions.

         Duties of the NCCCC contact shall be:  To notify membership of NCCCC activities that may of interest to the club, to coordinate NCCCC club entries into monthly NCCCC competitions] , and guide the club as to NCCCC contest rules and regulations.

         Duties of the Historian and Custodian shall be:  To collect and maintain the archives of the activities of the club.

         Duties of the Competition chair shall be:  To conduct the monthly local photo contests of the club and to act as projectionist during regular club meetings.
